Mon Nov 22, 2010 | Astral Closes Private Placement


Vancouver, British Columbia -- November 22, 2010 - Astral Mining Corporation (AA.TSXV) ("Astral" or the "Company") is pleased to announce that it has closed the second and final tranches of a $750,000 non-brokered private placement, previously announced on August 19th 2010. The funds will be used for an immediate second phase drilling program and further exploration of Astral's Jumping Josephine gold project in the Rossland mining camp of Southern British Columbia.

Since the first tranche closing, the Company has issued an additional 772,000 flow-through units (the "FT Units") at a price of $0.20 per FT Unit and 478,000 non flow-through units (the "NFT Units") at a price of $0.20 per NFT Unit for gross proceeds of $250,000. Each FT Unit consists of one flow-through common share and one transferable share purchase warrant. Each warrant entitles the holder to purchase one additional non flow-through common share of the Company for a period of two years from the closing date of the private placement at a price of $0.25 per share in the first 12 months and thereafter at a price of $0.35 per share. Each NFT Unit consists of one non flow-through common share and one transferable share purchase warrant. Each warrant entitles the holder to purchase one additional non flow-through common share of the Company for a period of two years from the closing date of the private placement at a price of $0.25 per share in the first 12 months and thereafter at a price of $0.35 per share.

Macquarie Private Wealth ("Macquarie") was paid 77,200 finder's warrants (a "Finder's Warrant") which is equal to 10% of proceeds raised by Macquarie. Each Finder's Warrant entitles Macquarie to purchase one common share of the Company for a period of two years from the closing date of the private placement at an exercise price of $0.25 per share if exercised during the first year and at an exercise price of $0.35 per share if exercised during the second year of the term of the Finder's Warrant. All of the foregoing securities are subject to hold periods expiring four months from date of issuance.
